Job Description:


Alloy Entertainment, an affiliate of Warner Bros. Television Group, is seeking a Director, Legal & Business Affairs. This position provides overall legal services to Alloy Entertainment with the exception of labor and facility issues.


Negotiate and draft agreements with authors and screenwriters (and illustrators and photographers) for the creation of original books and screenplays and/or the development of internal ideas into books and screenplays.
Negotiate and draft agreements with domestic and foreign publishers and distributors for the publication and distribution of books in all formats, including e-books, audio books, print on demand, paperback and hardcover; review, analyze and administrate contractual relationships with domestic and foreign publishers.
Advise WBTV of obligations and restrictions in connection with the development of AE properties as television series.
Negotiate and draft agreements for feature film development of AE properties.
Administer agreements with publishers and distributors to ensure compliance with provisions regarding publicity and promotional materials.
Provide counsel to AE and WBEI executives on emerging technologies affecting distribution of published materials.
Advise and oversee AE Intellectual Property matters, including, but not limited to, pre publication review, trademark searches and analysis, interface with WBEI in connection with registration and administration of trademarks (including assisting with preparation and filing of necessary paperwork with the United States Patent and Trademark Office) as well as policing and protecting IP portfolio.
Manage sweepstakes and contest promotions, including identifying, analyzing and distinguishing structural nuances of each submitted promotion project and determining concurrent legal feasibility; administration and filing regarding state registration and/or bonding issues, as applicable; draft affidavits and/or releases for winners and companions of winners (e.g.: guests and/or chaperones).
Supervise ancillary legal staff (e.g.: paralegals and interns) in connection with research matters and general legal support.


High School diploma or equivalent required.
BA/BS degree.
Juris Doctorate degree required.
Current admission with NY State Bar.
Minimum 5 years experience in legal field with emphasis on book publishing.
Knowledge of legal matters and contract law relating to intellectual property.
Ability to negotiate, draft and understand business contract language.
Ability to communicate in writing and to draft correspondence relating to business and legal matters.
Ability to communicate effectively with writers, agents and WB management.
Strong problem solving skills.
Dealmaking and negotiating skills.
Must have the ability to communicate effectively and tactfully with talent, clients, agents and senior management.
Must have the ability to pay close attention to detail.
Must have the ability to organize and schedule work effectively.
Must have the ability to work well under time constraints.
Must be able to handle multiple tasks.
Must be able to work independently, as well as collaboratively.
